Agreement to Terms

User Accounts

Subscription and Payments

Pricing

Our products may be offered on a subscription basis with various pricing tiers. All prices are displayed in US dollars and are subject to change with reasonable notice. We reserve the right to modify our pricing at any time.

Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). By subscribing, you authorize us to charge your payment method automatically until you cancel your subscription.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of your current billing period. We do not offer refunds for partial subscription periods, except as required by law.

Intellectual Property

All Content and materials available through our Services, including but not limited to text, graphics, logos, software, and trademarks, are the property of Corvian Labs or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use our Content for commercial purposes without our express written permission. Any unauthorized use of our intellectual property may result in legal action.

User-Generated Content

If you submit, post, or transmit any content through our Services ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such User Content for the purpose of operating and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

Prohibited Conduct

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit viruses, malware, or other harmful code
  • Spam, phish, or engage in fraudulent activities

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVIAN LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF OUR SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Corvian Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our Services or violation of these Terms.

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use our Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts in Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Corvian Labs regarding your use of our Services and supersede any prior agreements.

Product-Specific Terms

ThawMail

ThawMail is a SaaS platform that provides automated website analysis, AI-powered cold email generation, and outreach tools. In addition to these general Terms of Service, the following terms apply specifically to ThawMail users:

Credit System

ThawMail operates on a credit-based system where different actions consume credits:

  • Website Analysis: 0.5 credits per analysis
  • Email Generation: 0.5 credits per email
  • Email Editing: 0.25 credits per edit

Important: Credits do not accumulate between billing periods. Unused credits expire at the end of each billing cycle and do not carry over to the next period.

Subscription Plans

  • Free Plan: 3 credits monthly with basic features
  • Starter Plan ($19/month or $192/year): 50 credits monthly, 3-day trial period, standard features
  • Professional Plan ($39/month or $384/year): 120 credits monthly, advanced features, no trial period

When upgrading from Starter to Professional, users receive additional credits to reach the Professional tier's monthly allocation. Upgrade billing is prorated based on remaining subscription time.

Website Scraping and Data Collection

User Responsibility: You are solely responsible for ensuring you have permission to analyze websites you submit to ThawMail. By submitting a URL, you confirm that:

  • You have the right to access and analyze the submitted content
  • The website is publicly accessible and does not require authentication
  • Your use complies with the website's robots.txt file and terms of service
  • You will not use ThawMail to access private, restricted, or unauthorized content

Our Safeguards: ThawMail implements responsible scraping practices including:

  • Automatic robots.txt compliance checking before scraping
  • Built-in rate limiting and delays to avoid overloading servers
  • Blocking of social media platforms and login-required sites
  • Respectful user agent identification in all requests
  • Restricted access to administrative and private page patterns

Prohibited Activities

When using ThawMail, you may not:

  • Scrape social media profiles or platforms requiring authentication
  • Attempt to access login pages, dashboards, or private areas
  • Circumvent robots.txt restrictions or other scraping blocks
  • Scrape websites that explicitly prohibit automated access
  • Use ThawMail to collect personal information without consent
  • Send spam or unsolicited mass communications
  • Generate or send emails for harassment, abuse, or harmful purposes

Refund Policy

ThawMail offers refunds within 14 days of initial purchase for paid subscriptions. Contact us at thawmail@corvianlabs.com for refund requests.
